Terms of service
The same terms published on the services pages, written out in full. If anything here contradicts what a page of this site promises, the promise wins.
1. Who these terms are between
These terms apply between Adriano Junior, working as an independent software engineer, and the customer who subscribes to one of the published offers. They take effect when the first invoice is paid and stay in effect for as long as the subscription is active.
2. What the subscription buys
A subscription buys continuous engineering work at the level described on the offer's page. In practice that means working software every two to four days, a written update every working day, and an answer to any message within 24 hours on working days.
Work is delivered one item at a time, in an order agreed in writing. Priorities can be changed at any point, and the change applies to what has not been started yet. The subscription does not buy a fixed scope, a fixed date for a named deliverable, or a number of hours.
The Fractional CTO offer includes no production code. Where a customer on that offer needs building work, it is the Applications offer that covers it.
3. Price and billing
Every price is monthly and published on the site: Applications at $7,999 a month, CTO Advisory at $5,499 a month, Fractional CTO at $9,499 a month. There is no setup fee, no minimum term, no hourly rate, and no discount.
Invoices are issued at the start of each monthly period and are payable on receipt. Invoicing is business to business, structured to be IRS and IR35 safe. Third party costs, such as hosting, model usage, or a paid service the customer chooses, are paid by the customer directly and are never marked up.
4. Refund, pause, and cancellation
Within the first fourteen days of the first paid month, a customer may ask for a full refund and it is given without questions. Anything already delivered in that period remains the customer's to keep.
A subscription can be stopped at the end of any monthly period with no notice, no exit fee, and no penalty. A subscription can also be paused, in which case unused days carry forward as credit against a future month.
5. Ownership of the work
Everything produced under a paid subscription belongs to the customer. Code, design, written content, documentation, and decision records transfer in full once the invoice covering the period they were produced in has been paid. Where the law allows it, the work is treated as Work Made for Hire; where it does not, the same rights are assigned outright.
Open source components keep their own licences, which are listed with the deliverable. General knowledge, methods, and non-confidential techniques remain usable on other work.
6. Confidentiality
A mutual non-disclosure agreement is standard and included, with no separate document to negotiate unless the customer prefers their own. Customer data, credentials, code, and commercial information are never shared, and are never used to train a model.
No customer is named publicly, and no result is published as a case, without written permission first.
7. Warranty and liability
If something ships and it does not work as it was described, it is fixed at no extra charge for as long as the subscription is active. That is the whole of the warranty, and it is deliberately simple.
Total liability for any claim is limited to the amount paid in the three months before the claim arose. Neither party is liable for indirect or consequential loss, including lost profit or lost data, except where the law does not permit that limit.
8. Independent contractor status
The relationship is business to business between independent parties. It creates no employment, no partnership, and no agency. Working method, tools, and hours are determined independently, subject to the delivery commitments above.
9. Changes to these terms
These terms can change for new subscriptions at any time. For an active subscription, a change applies only from the next monthly period, and is sent in writing before it takes effect. Any question about them can be answered by writing to adriano@adriano-junior.com.
